General terms and conditions of WoonIoT BV (CRA-Portal), Chamber of Commerce 76066843, Barendrecht. Applicable to all CRA-Portal services.
In these general terms and conditions: 'Contractor' means WoonIoT BV (trading as CRA-Portal), registered in Barendrecht, Chamber of Commerce 76066843; 'Client' means the party entering into an agreement with the Contractor; 'Services' means all activities and advice carried out by the Contractor in the context of CRA compliance guidance.
These general terms and conditions apply to all offers, quotations and agreements of CRA-Portal. Deviations are only valid if agreed in writing. The applicability of the Client's general terms and conditions is expressly rejected.
CRA-Portal provides best-efforts obligations, not obligations of result. We apply our knowledge and expertise to guide the Client towards CRA compliance, but cannot guarantee specific outcomes of conformity assessments by third parties or market surveillance authorities.
Invoices must be paid within 30 days of the invoice date unless otherwise agreed in writing. If the payment term is exceeded the Client is automatically in default and statutory commercial interest and reasonable collection costs become due.
The liability of CRA-Portal is limited to the amount paid out by the professional liability insurance in the relevant case. In the absence of such cover, liability is limited to the invoice amount of the relevant assignment. Liability for indirect damage and consequential loss is excluded.
Both parties commit to maintaining confidentiality regarding all confidential information received in connection with the assignment. This obligation also applies after termination of the agreement.
Documents, reports and advice drawn up by CRA-Portal remain the property of CRA-Portal until all outstanding invoices have been paid. After full payment the Client has a right of use for internal purposes.
Dutch law applies to all agreements. Disputes are preferably resolved by mutual consultation. If this is not possible, the District Court of Rotterdam has jurisdiction.
